General Terms and Conditions, ellexx universe AG

The ellexx universe AG App is operated by ellexx universe AG, Dufourstrasse 181, 8008 Zurich, Switzerland (hereinafter referred to as “ellexx universe AG”). The services provided in the ellexx universe AG App (“ellexx universe AG Services”) are offered exclusively on the basis of these General Terms and Conditions (hereinafter “GTC”), the additional applicable conditions referenced herein, and the current version of the published on our website. 1. Scope and Contracting Party

These GTC apply to the use of the ellexx universe AG Services, including all content, functions, services, and rules within the contractual relationship between ellexx universe AG and the individual using the service.

During registration, you will be asked to agree to the GTC and accept them as binding. These GTC apply to all use of the ellexx universe AG Services.

Your contracting party with regard to the ellexx universe AG Services is ellexx universe AG.

In addition to these GTC, separate general terms and conditions of third-party providers—who may be granted access to customer data and permitted to use such data—may apply if necessary for providing the ellexx universe AG Services and if you consent to such use.

2. Subject Matter and Conditions of Use

The subject matter of this agreement is the use of the ellexx universe AG App and the ellexx universe AG Services. To enter into a business relationship with ellexx universe AG, you must meet the following requirements:

Minimum age: 18 years, or written consent from your parents or legal guardians.

Additional requirements apply when using ellexx universe AG Services in connection with ellexx invest:

No restrictions on legal capacity
Residence and exclusive tax liability in Switzerland
Residence permit type B or C for individuals of foreign nationality

Through the ellexx universe AG App, you may open a digital investment account with its own IBAN at Hypothekarbank Lenzburg AG (“ellexx invest”). This banking relationship is a separate agreement and is also a prerequisite for the business relationship with ellexx universe AG.

If you relocate abroad, change your exclusive tax liability in Switzerland, or lose your permit B or C (for foreign nationals), you must immediately terminate the existing contractual relationship. If this applies to you, you must notify ellexx universe AG by email at (see in particular Section 13).

Granting powers of attorney is not permitted (i.e., no “ellexx universe AG joint account”). The offered services may be used solely for private purposes.

Your account also provides access to third-party services through the ellexx universe AG App. If you use such third-party services and if data exchange with these third parties is required, all data is transmitted in encrypted form. This applies to services provided by Intrum AG and other carefully selected third-party providers. You authorize us to disclose this data and waive your rights under Swiss banking secrecy to the extent required for such disclosure. The use of these services is voluntary or an integral part of ellexx invest and is subject to the respective terms of use and privacy policies.

ellexx universe AG may also intermediate products or services from partner companies (in the ellexx universe AG App, via the website, email, etc.). ellexx universe AG does not share data with partner companies unless you explicitly consent to the disclosure in each individual case—for example in the app, via the website, or by email. The processing of data is then subject to the terms of use and privacy policy of the respective partner company. ellexx universe AG emphasises that the presentation of a partner company does not constitute advice of any kind.

ellexx universe AG strives to ensure the greatest possible availability and usability of the services provided, but cannot guarantee uninterrupted access. You acknowledge that access to the services may be temporarily restricted for technical reasons (e.g., disruptions, maintenance, transmission errors, system interruptions) or for reasons beyond the control of ellexx universe AG (e.g., force majeure, third-party fault, or any kind of malfunction).
When operating and maintaining its applications for access to trading and financial services, ellexx universe AG applies due diligence. ellexx universe AG is not responsible for persons or systems outside its control and provides no guarantee for the availability of specific services, financial products provided by third parties, trading venues, or trading channels.

3. Data Protection, Data Access, Banking Secrecy, and Other Confidentiality Provisions

ellexx universe AG is subject to Swiss legislation regarding the collection and processing of your personal data (in particular the Federal Data Protection Act (DSG) and the Data Protection Ordinance (DSV)).

ellexx universe AG undertakes to protect customer data at all times through appropriate and state-of-the-art measures and assures that your personal data will not be disclosed unless this is strictly necessary to fulfil a contract, you have consented to the disclosure, or a legal obligation requires it.

ellexx universe AG may transfer your personal data or other data to Hypothekarbank Lenzburg AG if necessary for the proper execution of banking services. Banking secrecy regarding the contractual relationship between you and Hypothekarbank Lenzburg AG is maintained at all times (see also Sections 2 and 3).

Regardless of the above, legal or regulatory reporting and disclosure obligations apply to ellexx universe AG. ellexx universe AG is particularly authorised to suspend access to the app at its sole discretion (e.g., to investigate suspected misuse). We publish our Privacy Policy, including the principles for data processing and any updates, .

4. Outsourcing of Services and Confidentiality

ellexx universe AG may outsource services or business areas (e.g., collection and administration of customer data, preparation of transaction data, address management, shipping, postage) in whole or in part to third parties within or outside Switzerland. You expressly agree that your data may be processed and transmitted to these parties in connection with the services of ellexx universe AG. You further agree that these parties may transfer your data to subcontractors for outsourcing purposes. All parties involved in data processing treat your data confidentially.

5. Customer Profiling and Marketing

ellexx universe AG may use your data to create customer profiles that allow us, within the framework of contracts with involved business partners, to offer services, products, or information tailored to your individual situation or deemed relevant to you by ellexx universe AG.

6. Processing, Recording, Disclosure, Storage, and Deletion of Data

To identify customer needs and adequately serve customer interests, ellexx universe AG requires certain data, in accordance with applicable data protection rules and the ellexx universe AG Privacy Policy.

To prevent misuse, ellexx universe AG stores customer data for a period of five years. After this period, you have the right to request deletion of structured customer data from productive systems, to the extent permitted by law. More information can be found in the Privacy Policy.

7. Intellectual Property

All intellectual property rights remain with ellexx universe AG or authorised third parties. For the duration of the contract, you receive a non-transferable, non-exclusive right to use the ellexx universe AG App and the ellexx universe AG Services. Content and scope are determined by the contractual provisions between you and ellexx universe AG.

Terms of Use for the ellexx App (EULA):
The software applications of ellexx universe AG and their content are neither sold nor transferred to you, and all rights to copies of the ellexx software applications and content remain with ellexx and its licensors—even after installation on your computer, tablet, mobile device, or other device.

For use of the ellexx App via the Apple Store, the applies. This is an agreement between Apple, us as the provider, and you as the user. In summary, when you download an app, it does not become your property—you are granted a licence to use it. This also applies to the ellexx App. The Standard User License Agreement governs the conditions of use, data usage, and other aspects, which we recommend reviewing if interested.

8. Your Duties, Care Obligations, and Compliance with Laws

You may install the ellexx universe AG App on a mobile device that you own for your private use. You agree to store documents securely and prevent unauthorised access. You must take all reasonable measures to reduce the risk of fraud. In particular, you must keep access codes secret to prevent misuse. You are liable for damages resulting from violations of these duties of care.

You may register only private email addresses to which no other person has access. Neither your email address nor its login credentials may be shared or disclosed. Requests must be submitted exclusively from the registered email address. ellexx universe AG replies only to the email addresses recorded in your profile.

ellexx universe AG is not obliged to respond to inquiries from unregistered email addresses. ellexx universe AG takes appropriate measures to detect and prevent fraud. If ellexx universe AG breaches customary due diligence, the resulting damage will be borne by ellexx universe AG. If damage occurs without breach of duty by either party, it shall be borne by the party in whose sphere of influence it arose.

You are responsible for complying with all applicable legal and regulatory requirements, particularly regarding tax and anti-money-laundering regulations. Your devices and software form part of the overall system but lie outside the control of ellexx universe AG and may represent a system vulnerability.

ellexx universe AG therefore recommends protecting your devices and software at all times against electronic attacks and unauthorised use, and refraining from sending sensitive or time-critical instructions via unencrypted or insecure communication channels. Instead, use the channels provided by ellexx universe AG for such purposes. You should promptly review executed transactions. ellexx universe AG is liable for damages arising from the use of the aforementioned communication channels only where it fails to observe customary due diligence. In particular, ellexx universe AG is not obliged to compare information or instructions transmitted by you or an authorised person with other data.

You are responsible for your own devices and software; ellexx universe AG accepts no liability for them.

It is strictly prohibited to attack or impair the functionality of the services offered by ellexx universe AG, e.g., by sending mass emails (spam) or SMS, attempting hacking, brute-force attacks, distributing spyware, viruses, or worms. Violations will be sanctioned immediately through warnings, temporary suspensions, or permanent termination of account access. ellexx universe AG reserves the right to take legal action.

9. Indemnification and Customer Liability

You indemnify ellexx universe AG against all claims, including any potential claims for damages, that other customers or third parties—including authorities—assert against ellexx universe AG due to your breach of rights or obligations through your use of the ellexx universe AG Services.

You are liable for all costs, including legal defence costs, incurred by ellexx universe AG due to your infringement of third-party rights. Additional claims by ellexx universe AG remain reserved.

These obligations apply only if the breach of rights or obligations was intentional or the result of negligence.

10. Liability for Defects

By providing an ellexx universe AG account, ellexx universe AG is liable only for defects that were fraudulently concealed or caused intentionally or through gross negligence. A defect exists if the suitability for contractual use is absent or significantly impaired.

You are subject to a duty to notify: defects must be reported promptly upon discovery, in writing (email) or by phone. No further claims or rights relating to defects exist beyond those expressly stated. In particular, there is no entitlement to damages for defects existing at the time of contract conclusion or later arising due to circumstances beyond the control of ellexx universe AG.

11. Limitation of Liability

For the use of the ellexx universe AG Services, liability of ellexx universe AG is limited to intent, gross negligence, or the absence of a guaranteed feature.

In the case of intent, liability is unlimited; in cases of gross negligence or absence of a guaranteed feature, liability is limited to typical and foreseeable damages. Any further liability is excluded.

ellexx universe AG is not liable for actions or omissions of partner companies. ellexx universe AG is further not liable for delays, errors, or failures caused by circumstances beyond its control, including but not limited to force majeure, acts of authorities, pandemics, epidemics, fires, floods, or earthquakes.

To the extent permitted by law, ellexx universe AG excludes any liability for losses resulting from delayed or non-executed processing of instructions or losses from securities trading or transactions involving financial instruments.

12. Term and Termination

The contract for the use of the ellexx universe AG Services and App is concluded for an indefinite period. The use of ellexx invest requires a banking relationship with Hypothekarbank Lenzburg AG. You may terminate the contract with ellexx universe AG at any time; for ellexx invest, the notice periods in the base contract with Hypothekarbank Lenzburg AG apply. You receive this during onboarding.

Once no balance remains with Hypothekarbank Lenzburg AG, termination can be submitted through the ellexx universe AG App or—if technically impossible—via email to hello@ellexx.com. Upon termination, you may transfer any remaining funds to a reference account at another Swiss bank. ellexx universe AG will then close the contractual relationship and notify Hypothekarbank Lenzburg AG to close the banking relationship.

Hypothekarbank Lenzburg AG or ellexx universe AG may also terminate the banking relationship or the use of the ellexx universe AG App—and thus the contractual relationship—at any time, without notice and without stating reasons. Termination results in the closing of both the banking relationship and the ellexx universe AG Services.

Once the contractual relationship and account have been terminated, it is at the discretion of ellexx universe AG and Hypothekarbank Lenzburg AG whether you may enter into a new relationship at a later time.

13. Entry into Force and Amendments to the GTC

These GTC enter into force immediately. ellexx universe AG reserves the right to amend them at any time.

Any amendments will be communicated to you by email and shall be deemed accepted unless you object within 30 days. The objection period begins upon receipt of the email. In the amendment notice, ellexx universe AG will inform you separately of your right to object, the objection period, and the significance of your silence.

Amendments to essential contractual obligations are excluded.

14. Fees

For the overview of pricing and services, please refer to the ellexx universe AG. All fees for services provided by ellexx universe AG include applicable VAT. ellexx universe AG may deduct fees directly from your balance and debit your account at Hypothekarbank Lenzburg AG. If fees cannot be charged due to insufficient funds, all service obligations of ellexx universe AG are suspended.

The fees charged by ellexx universe AG are not “bank fees” and therefore are not part of the tax statement issued by Hypothekarbank Lenzburg AG.

ellexx universe AG reserves the right to change or adjust fees. Current fees can be found .

ellexx universe AG may charge you for special expenses caused by you, such as costs incurred by ellexx universe AG for garnishments, legal proceedings, or termination of the business relationship.

15. Distribution Compensation

ellexx universe AG may receive distribution commissions or other monetary benefits from product providers based on distribution agreements for its distribution activities and related services. These compensations form part of the remuneration of ellexx universe AG for the services provided to you.

If ellexx universe AG receives such compensations that could—under Article 400 of the Swiss Code of Obligations or another legal provision—be claimed by you, you expressly waive this claim. Detailed information on the basis and amount of such product-specific compensations and any resulting conflicts of interest can be accessed at any time .

This information forms an integral part of these GTC in its current version. ellexx universe AG strives to avoid conflicts of interest. If unavoidable, ellexx universe AG ensures that your interests are safeguarded and informs you appropriately.

16. Communication

You must promptly notify ellexx universe AG of all facts essential to the business relationship (changes to name, address, residence, telephone number, email address, or tax residency) via the ellexx universe AG App (name changes only by email and with proof). As soon as electronic documents and communications are available to you in the app or have been sent via email, they are deemed delivered. ellexx universe AG uses email as its main channel for communicating notices such as amendments to the GTC.

ellexx universe AG is authorised to communicate through electronic channels (mobile applications and other electronic channels) to the email address or mobile phone number you provided.

You acknowledge that unencrypted emails and other unsecured electronic communication channels are not protected against unauthorised access by third parties and thus carry risks such as lack of confidentiality, manipulation of content or sender data, misdirection, delay, or viruses.

For customer service, ellexx universe AG uses the following communication channels: email, in-app messages, and notifications. Certain services may be provided by third parties. ellexx universe AG Services are offered in German and English. Messages intended solely for you may not be forwarded, reproduced, or otherwise shared with third parties.

17. Website, Membership, Shop, and Educational Content

If you purchase a subscription (Membership) for the digital platform “ellexx.com” or via the ellexx App, or if you visit the website (visitor), or if you enter into any other contractual agreements with ellexx universe AG—such as purchasing from our e-shop or consuming our educational content—additional conditions apply. These can be found .

18. Saturdays Treated as Public Holidays

In business dealings with ellexx universe AG, Saturdays are treated as equivalent to officially recognised public holidays.

19. Severability Clause

Should individual provisions of these GTC be invalid or become invalid and/or conflict with statutory regulations, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid one that most closely approximates the economic purpose of the invalid provision. The same applies in the event of contractual gaps.

20. Applicable Law and Jurisdiction

All legal relations between you and ellexx universe AG are subject to substantive Swiss law. Zurich is the exclusive place of jurisdiction and performance, to the extent permitted by mandatory national or international law. However, ellexx universe AG reserves the right to bring action before any other competent court.
