Additional Provisions to the General Terms and Conditions

for Website, Membership, Educational Content, and Shop

1. Scope of Application

1.1. These Additional Terms for the Website, Membership, Educational Content and Shop (“Additional Terms”) supplement the General Terms and Conditions (“GTC”) of ellexx universe AG. They apply to you when you purchase a subscription (Membership) on the digital platform “ellexx” or via the ellexx App (“App”), when you visit the website or the App (as a visitor), and to all other contractual relationships you enter into with ellexx universe AG, such as purchases made in our e-shop. These Additional Terms do not apply to contractual relationships that you may enter into with any of our cooperation partners.

1.2. ellexx universe AG operates the website and the ellexx App, where natural or legal persons may purchase either a monthly or annual Membership. ellexx also operates an e-shop. These Additional Terms apply to all orders and purchases made via the website or the App, in each case in the version valid at the time of the order.

1.3. To purchase a Membership, you must be a fully legally competent natural person (minimum age 18) or a legal entity registered in the commercial register. If you are under the age of 18, you must obtain the written consent of your legal guardian(s) or legal representative(s) in order to purchase a Membership.

1.4. By visiting the website or using the App, you agree to these Additional Terms to the GTC of ellexx universe AG. You are deemed to be using the website whenever you access or use the App. To purchase a Membership, you must actively consent to these Additional Terms by checking the respective box. Once you become a Member, we will also send you our newsletters. You may unsubscribe at any time.

2. Scope of Services

2.1. ellexx universe AG operates the platform and the ellexx App, where you may subscribe to an “ellexx” Membership or access freely available information. ellexx universe AG is responsible for all content on the website and the App, with the exception of product pages created jointly with cooperation partners.

2.2. All copyrights and usage rights remain at all times with ellexx universe AG.

2.3. You alone are responsible for deciding whether you wish to subscribe to an “ellexx” Membership or enter into a contractual relationship with any of our cooperation partners.

2.4. Membership via the ellexx App
Memberships for the App may only be purchased in the ellexx App. Three types of Memberships are available:

2.4.1. Membership

With the Monthly or Annual Membership in the ellexx App, you receive the following benefits (monthly or annually):

All live coachings (11–24 per year) on money topics with top experts and the founders
Inspiring online courses on investing and financial planning for beginners and advanced users

Price: CHF 199/year or CHF 19/month (incl. VAT)

2.4.2. Supporter Membership

With the Supporter Membership in the ellexx App, you receive the following benefits for one year:

Access to all content
Member newsletter
All interactive checklists plus long versions for download
20% discount on services from other female founders
Smart budgeting tool in the App
All live coachings (11–24 per year)
Online courses for beginners and advanced users
20% discount on Close the Gaps Night and the ellexx Money Hacks course

Price: CHF 499/year (incl. VAT)

2.5. Membership on ellexx.com
As of November 2025, Membership access is available exclusively via the ellexx App (see your benefits under 2.4.). Your Membership will automatically renew after expiry of the subscription term.
This means: your existing Membership on ellexx.com will automatically convert into a new “App” Membership after the current term ends, unless you cancel at least two days before your existing Membership expires.
A portion of Membership revenue is donated by ellexx universe AG to projects supporting women. This does not create a legal or factual entitlement for Members to receive evidence of such donations. ellexx universe AG is free to decide which projects or organisations receive the donations. Recipients acquire no legal claim to disbursement.

3. Payment, Commissions and Fees

3.1. Before completing your Membership payment, you must provide your first name, last name, and email address.

3.2. Membership payments are transferred to the account of ellexx universe AG. Any transaction fees will be deducted from your payment and depend on the payment method selected.

3.3. As a Member, you agree that ellexx universe AG may instruct independent third parties to collect payments on a Swiss bank account. For this purpose, you may be redirected to an external payment provider.

3.4. Amounts paid by you as a Member are at the free disposal of ellexx universe AG.

3.5. For recurring Memberships, the fee is charged upon conclusion of the Membership and thereafter monthly or annually in advance. The Membership automatically renews until cancelled. If we are unable to charge your selected payment method, we will revoke access to the annual Membership after two weeks and to the monthly Membership after three days, after multiple unsuccessful attempts to collect payment.

4. Term, Cancellation, Refunds

4.1. Automatic Renewal
Unless you explicitly declare that you do not wish to continue your Membership, your subscription will automatically renew — annual Memberships for another year, monthly Memberships for another month — at the full price and without any discount. Automatic renewal applies to Memberships on ellexx.com and in the App.

4.2. Cancellation
You may cancel your Membership through your profile on the platform where you purchased it (ellexx website or App).
If cancellation via the platform is not technically possible, you may cancel in writing via email to hello@ellexx.com.
The cancellation must be submitted no later than two (2) business days before renewal.
Non-payment does not constitute cancellation.

4.3. Refunds
Once activated, a Membership cannot be refunded.

5. Data Use and Data Protection

The Privacy Policies for the ellexx App and the website are an integral part of the GTC and these Additional Terms.

6. Member Obligations

6.1. You are responsible for the accuracy and completeness of the information you provide when registering on ellexx.com or in the App. You confirm that all information provided is truthful and complete.

6.2. As a visitor, App user or Member, you agree to indemnify ellexx universe AG from any costs, claims, damages, losses or other demands arising from your registration, your use of the website or App, or any related cause.

7. Shop

7.1. When placing an order in the e-shop or the App shop, your order becomes binding once you accept these Additional Terms and click the purchase button. A legally binding purchase contract is formed. You will receive an order confirmation by email.

7.2. After confirmation, we will ship the ordered items to the delivery address you provided. External factors such as natural events or delays at delivery partners may extend delivery times. If delivery fails despite several attempts, ellexx may withdraw from the contract. Obvious errors in delivered goods must be reported under Art. 6a CO and returned.

7.3. Our e-shop offering is non-binding. Most items are normally available. If an inventory discrepancy prevents delivery, we will inform you promptly and refund any payment made.

7.4. Prices are listed in Swiss francs, inclusive of VAT and exclusive of shipping.

7.5. Payment methods accepted in the e-shop are listed on the website.

7.6. We deliver exclusively within Switzerland. Shipping costs are borne by you and reflect actual postage, shown at checkout. We may use Swiss Post or other carriers. Shipping costs are non-refundable. Self-collection is not possible.
Goods remain the property of ellexx until full payment has been made. Purchased gift cards cannot be returned.

7.7. Right of Withdrawal (10 days)
You may withdraw from the contract within 10 days of receiving the goods by returning the items with a description of the reason for return. Returns are at your cost and responsibility.

Only unused, undamaged, clean, and flawless items will be accepted. Worn, dirty, damaged, or odorous items cannot be returned; ellexx may claim compensation if necessary.

Refunds will be issued to the same payment method. Shipping costs are non-refundable.

7.8. Please check items immediately upon receipt for accuracy, completeness, and condition. Complaints regarding defects, incorrect deliveries, or quantity deviations must be made within five (5) business days via email to hello@ellexx.com. If the defect is accepted, we will send a replacement (if available) or refund the amount. Warranty is limited to manufacturer guarantees. Improper handling or alteration voids any warranty claim.

8. Liability Disclaimer

8.1. ellexx universe AG provides no warranty regarding the correctness, accuracy, timeliness, reliability or completeness of information. Claims for material or immaterial damages resulting from access, use or non-use of published information, misuse of the connection, or technical disruptions are excluded.

8.2. All offers are non-binding. Information regarding financial or insurance products does not constitute investment advice or any other personal advisory service and is intended solely for residents of Switzerland.

8.3. ellexx universe AG may amend, supplement, delete or temporarily or permanently discontinue the website or App without notice.

8.4. References and links to third-party websites are outside our responsibility. Access and use of such websites are at your own risk.

8.5. Claims for damages due to impossibility of performance, breach of contract, negligence at contract formation, or unlawful acts are excluded unless caused by intentional or grossly negligent conduct. Liability for indirect or consequential damages is excluded.

8.6. ellexx universe AG assumes no liability for services provided by third parties nor for damages caused to visitors or Members by other users.

9. Provision of Educational Content

ellexx provides various educational content, including articles, videos, podcasts, coachings and webinars (live or recorded), newsletters, structured learning courses, checklists, and surveys. Some content is publicly accessible; some is restricted to Members.

All content is provided solely for educational purposes and does not constitute financial advice or any regulated service. You remain fully responsible for your financial, personal, business or other decisions. ellexx is not legally or financially liable for any consequences arising from your actions.

You understand that ellexx — even if financially and legally knowledgeable — is not supervised by FINMA or any equivalent authority, and is not a bank, investment adviser or asset manager. Nothing on the platform, App, or in ellexx services constitutes regulated financial advice.

You further acknowledge that ellexx provides no professional services of any kind, including investment, legal, tax or accounting advice. ellexx expressly disclaims all professional liability to the fullest legally permissible extent.

ellexx is never responsible or liable for your financial situation. Your financial decisions and outcomes remain your own responsibility.

Information on the website or App not expressly labelled as an “offering” (with reference to term sheets, base prospectuses or key information documents) constitutes advertising within the meaning of Art. 68(1) FinSA and is intended solely for persons resident in Switzerland.

10. Copyright

All copyrights and other rights to content, images, photos or other files on the website belong exclusively to ellexx universe AG or the specifically named rights holders. Written permission must be obtained in advance for the reproduction of any elements.

11. Severability Clause

If any provision of these Additional Terms is or becomes invalid, the validity of the remaining provisions and the contracts based on them remains unaffected. The invalid provision shall be replaced by a valid one that most closely reflects the intended economic purpose. The same applies to any gaps in the GTC or the contracts based on them.

12. Jurisdiction and Applicable Law

Subject to the Privacy Policies and the GTC, Swiss law exclusively applies to these Additional Terms and the contracts between you and ellexx universe AG, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction is Zurich.

13. Amendments to the Additional Terms

ellexx universe AG reserves the right to amend these Additional Terms at any time without stating reasons. The amended version applies from the date of publication on or in the ellexx App.
